Terms of Service

By accessing or using Qsinc's services, website, or mobile applications (collectively, the "Services"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our Services. These Terms of Service apply to all users of the Services, including without limitation users who are insurers, healthcare providers, employers, patients, and other visitors.

Qsinc provides a healthcare billing and claims management platform that enables: • Insurance companies to manage policies and process claims • Healthcare providers to submit claims and manage billing • Employers to administer employee health benefits • Patients to track their healthcare expenses and coverage We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

To access certain features of our Services, you must register for an account. When creating an account, you agree to: • Provide accurate, current, and complete information • Maintain and promptly update your account information • Keep your password secure and confidential • Accept responsibility for all activities under your account • Notify us immediately of any unauthorized access We reserve the right to suspend or terminate accounts that violate these terms.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to: • Violate any applicable laws or regulations • Infringe on the intellectual property rights of others • Transmit any harmful, offensive, or objectionable content • Attempt to gain unauthorized access to our systems • Use the Services to transmit spam or unsolicited communications • Interfere with or disrupt the Services or servers • Impersonate any person or entity • Collect user information without consent

Our Services involve the processing of healthcare-related information. You acknowledge and agree that: • You are responsible for the accuracy of all healthcare information submitted • You have the necessary authorizations to submit healthcare claims • You will comply with all applicable healthcare laws and regulations • Protected Health Information (PHI) will be handled in accordance with our Privacy Policy and applicable laws We are committed to maintaining the confidentiality and security of all healthcare information.

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, video, software, and their selection and arrangement) are owned by Qsinc, its licensors, or other content providers and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not include the right to: • Modify or copy our materials • Use materials for commercial purposes • Reverse engineer any software • Remove any copyright or proprietary notations

If you purchase any Services, you agree to pay all applicable fees and charges. Payment terms include: • Fees are due as specified in your service agreement • All payments are non-refundable unless otherwise stated • We may change our fees with reasonable notice • Late payments may result in service suspension • You are responsible for all taxes associated with your use of the Services

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QSINC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: • Loss of profits, data, or business opportunities • Service interruptions or system failures • Errors or inaccuracies in the Services • Third-party conduct or content • Any other matter relating to the Services Our total liability shall not exceed the amount you paid for the Services in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless Qsinc and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: • Your use of the Services • Your violation of these Terms • Your violation of any third-party rights • Any content you submit through the Services

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including: • Breach of these Terms • Non-payment of fees • Suspected fraudulent or illegal activity • Extended periods of inactivity Upon termination, your right to use the Services will cease immediately. All provisions that should survive termination shall remain in effect.

These Terms shall be governed by and construed in accordance with the laws of Rwanda, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through: • Good faith negotiation between the parties • Mediation if negotiation fails • Binding arbitration as a last resort The courts of Rwanda shall have exclusive jurisdiction over any disputes.

We reserve the right to modify these Terms at any time. We will notify users of any material changes by: • Posting the updated Terms on our website • Sending an email notification to registered users • Displaying a notice within the Services Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
